Brookfield Or Hafnia: Who Actually Wants Torm?

Oaktree left Torm's register after eleven years, and not by selling. Brookfield replaced it on July 31 without buying. Hafnia bought 13.97 percent and backs consolidation.

Brookfield paid about $3.0bn on July 31 for the last 26 percent of Oaktree it did not already own, and one line inside that purchase was 19.86 percent of Torm plc. It is now Torm’s largest disclosed shareholder and it has never bought a Torm share. Hafnia, which paid $311,433,342 in cash for its own stake, has said in two filings that it likes consolidation. Only one of them has ever wanted the company.

Torm plc filed the same disclosure twice this summer. On June 24 it reported that OCM Njord Holdings held 20,329,874 Class A shares, 19.86 percent of the share capital and the voting rights, notified by Oaktree Capital Group Holdings GP, LLC under section 30 of the Danish Capital Markets Act. On August 7 it reported 20,329,874 Class A shares, 19.86 percent, and named Brookfield Corporation of Ontario as the ultimate controlling shareholder. Same block, same percentage, same Luxembourg holding company underneath. What changed was the owner of the owner, and a reader who stops at the second filing will draw exactly the wrong conclusion about who is moving on this company.

⚖️ The Story

A share register is the least dramatic document a listed company produces and the most honest. It does not care what anybody intends. It records only who holds what, and Torm’s now records a name at the top that did not buy anything.
